Active Directory is the beginning of security and automation for your company. AD upgrades
Migration off of 2003 is imperative since it is no longer supported by Microsoft. Some installations of Exchange require you to be at a certain functional level for the forest and domain. Features like active directory recycle bin are available at higher levels.
